ALL OVER THE SHOP – TRADER TERMS & CONDITIONS
Retail Space Agreement at Unit 22, Metquarter, Liverpool, L1 6DA

By ticking the box below, you ("the Trader") confirm that you have read, understood, and agreed to the terms outlined in this agreement between yourself and All Over The Shop ("the Shop Owner").

☑️ GENERAL AGREEMENT

  • I agree to rent retail space within All Over The Shop under the terms outlined in this document.

  • I understand the space will be allocated at the Shop Owner’s discretion.

☑️ SPACE ALLOCATION & RENT

  • I agree to pay the monthly rent for the space allocated to me by the Shop Owner.

  • I understand that the price of my allocated space will fall into one of the following tiers:
    • £200 pcm • £100 pcm • £75 pcm • £50 pcm • £25 pcm

  • The rent amount is determined by the size and location of my allocated space and will be confirmed to me in writing by the Shop Owner.

  • Rent is payable monthly via bank transfer to the account provided by the Shop Owner.

  • I understand the Shop Owner may review and adjust rent and/or commission in future with notice.

☑️ CONTRACT TERM

  • I agree to an initial 3-month commitment and understand early termination is not allowed.

  • After this period, I understand the contract continues on a rolling monthly basis.

  • I agree to give or receive 30 days’ written notice for termination.

☑️ SALES COMMISSION

  • I agree to pay a sales commission (variable at Shop Owner’s discretion) on all sales made via the Shop or processed by the Shop Owner.

  • I understand changes to the commission rate will be communicated in writing.

☑️ TRADER RESPONSIBILITIES

I agree to:

  • Upload and barcode my own stock using the Shop’s inventory system.

  • Price my own products.

  • Maintain stock levels and introduce new stock when requested.

  • Collect any remaining stock within 14 days if leaving the shop.

  • Repair damaged items where required.

  • Keep my allocated space clean, presentable, and aligned with the shop’s visual standards.

  • Follow all relevant laws and trading regulations.

☑️ SHOP OWNER RESPONSIBILITIES

The Shop Owner will:

  • Provide a designated space for me to sell goods.

  • Manage point-of-sale transactions and pay out sales linked to correct barcodes.

  • Keep shared areas of the shop maintained and open during standard hours (except in emergencies).

  • Offer general security during operating hours.

☑️ OPENING HOURS

  • Monday–Saturday: 10am–6pm

  • Sunday: 11am–4pm

  • I understand opening hours may vary at the Shop Owner's discretion.

☑️ INSURANCE & LIABILITY

  • I am responsible for insuring my own products and display items.

  • I accept that the Shop Owner is not liable for loss, theft, or damage to my stock.

☑️ TERMINATION CONDITIONS

  • I agree to collect all goods within 14 days of contract termination.

  • I understand that failure to remove stock in time may result in storage fees or disposal.

  • I understand the Shop Owner may terminate the contract immediately if I breach any terms, fail to maintain stock for 30 consecutive days, or act inappropriately.

☑️ CONFIDENTIALITY & REPUTATION

  • I will not disclose confidential business methods, systems, or shop layouts.

  • I will not make defamatory or negative statements about the shop, its staff, traders, or customers, including on social media or public platforms.

  • This obligation applies during and for 12 months after the agreement ends.

☑️ DISPUTE RESOLUTION

  • I agree to attempt informal resolution before pursuing legal action.

  • I understand disputes may be escalated to mediation or arbitration if necessary.

☑️ LEGAL & FINAL PROVISIONS

  • I agree this document forms a legally binding agreement.

  • Any changes must be made in writing and agreed by both parties.

  • This agreement is governed by UK law.

  • If any clause is unenforceable, the remainder still applies.

✅ AGREEMENT CONFIRMATION

By creating a Circle Hand account and submitting my application to trade within All Over The Shop, I confirm that I have read, understood, and agree to be bound by the Terms & Conditions outlined above.
I accept all responsibilities as a Trader operating within All Over The Shop and acknowledge that this agreement is legally binding.
